Terms of Service
These Terms of Service govern your access to and use of the Vera Menu website, platform, and related menu digitization, structuring, publishing, and visibility services.
1. Agreement to These Terms
By accessing or using the Vera Menu website, platform, or services, you agree to these Terms of Service and our Privacy Policy. If you are using the services on behalf of a restaurant, group, platform, or other organization, you represent that you have authority to bind that organization to these terms.
2. Services
Vera Menu provides services that may include menu digitization, menu extraction, structuring, normalization, enrichment, restaurant data organization, managed publishing support, platform access, and related AI visibility or discovery services. Specific deliverables, timelines, and commercial terms may also be described in an order form, proposal, statement of work, invoice, onboarding materials, or other written agreement between you and Vera Menu.
3. Eligibility and Business Use
You may use our services only if you can form a binding contract and comply with applicable law. Our services are intended for business and commercial use, not for personal, family, or household use.
4. Customer Content and Customer Responsibility
You may provide us with menu files, restaurant details, pricing, descriptions, images, brand assets, operating information, and other materials or data in connection with the services ("Customer Content"). You retain ownership of Customer Content, subject to the rights you grant to us in these terms.
You are solely responsible for Customer Content and for the accuracy, completeness, legality, and timeliness of all materials you submit to us. You represent and warrant that:
- You own Customer Content or have all rights, permissions, and authority necessary to provide it to Vera Menu.
- Our use of Customer Content as authorized by you will not violate any law, contract, intellectual property right, privacy right, publicity right, or other third-party right.
- Pricing, availability, dietary tags, allergen notes, service terms, and similar restaurant information you provide are accurate at the time you provide them.
5. License to Process Customer Content
You grant Vera Menu a non-exclusive, worldwide, limited license to host, store, copy, analyze, format, adapt, process, reproduce, and otherwise use Customer Content as reasonably necessary to provide the services you request, improve delivery workflows, maintain records, enforce our agreements, and comply with law.
6. Authorization Required for AI, Search, and Public Internet Publishing
Vera Menu may help prepare business information and menu data for publication, distribution, or machine readability across websites, search systems, AI assistants, directories, discovery tools, partner platforms, and other public or internet-facing destinations. We will do that only when you have requested or authorized that activity.
By giving publication approval through a service agreement, order form, platform control, onboarding approval, email confirmation, written instruction, or another method we accept, you authorize Vera Menu to use, reproduce, format, adapt, distribute, publish, syndicate, and promote the approved Customer Content for the scope of the requested services.
If you do not authorize public-facing publishing, Vera Menu will not intentionally submit or promote your protected menu or restaurant data to public AI engines, search engines, directories, or similar internet destinations through our managed publishing workflows, except as necessary to provide a private workflow you requested, comply with law, or protect our rights and systems.
You acknowledge that once approved content is published or distributed to third-party destinations, Vera Menu may not be able to control subsequent caching, indexing, copying, training, resurfacing, or retention by search engines, AI systems, websites, or other third parties. If you revoke authorization, we will stop future publishing activity within a commercially reasonable time, but previously distributed content may remain outside our control.
7. Accuracy, Review, and Approval
You are responsible for reviewing outputs, structured menu data, business details, and publishing-ready content before final approval or use. Vera Menu may assist with extraction, normalization, and enrichment, but you remain responsible for confirming the final accuracy of menu items, pricing, hours, dietary information, and other customer-facing business details.
8. Platform Access and Account Security
If we provide account access, you are responsible for maintaining the confidentiality of your login credentials and for activities occurring under your account. You must promptly notify us of any unauthorized use or security incident affecting your account.
9. Fees and Payment
Fees, payment timing, billing terms, renewals, taxes, and any service-specific commercial conditions will be stated in the applicable order form, quote, invoice, proposal, or other written agreement. Unless otherwise stated in writing, fees are non-refundable once services have been performed or work has begun.
10. Intellectual Property
Vera Menu and its licensors retain all rights, title, and interest in the Vera Menu website, platform, software, workflows, documentation, design elements, trademarks, service marks, and other proprietary materials, excluding Customer Content. These terms do not transfer ownership of Vera Menu intellectual property to you.
Subject to your compliance with these terms and any commercial agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business purposes.
11. Acceptable Use
You may not use the services to:
- Violate any applicable law or regulation.
- Upload content that you do not have the right to use or publish.
- Interfere with, damage, disable, or compromise the security or integrity of the services.
- Access the services through unauthorized means or attempt to probe, scan, or test vulnerabilities without permission.
- Use the services to infringe intellectual property, privacy, publicity, or other rights of any person or entity.
12. Third-Party Services
The services may involve or connect with third-party platforms, search engines, AI systems, analytics tools, hosting providers, payment processors, communication tools, or other services not controlled by Vera Menu. We are not responsible for the acts, omissions, availability, policies, or terms of third-party services.
13. Suspension and Termination
We may suspend or terminate access to the services if you violate these terms, create risk for Vera Menu or others, fail to pay applicable fees when due, or if we are required to do so by law. You may stop using the services at any time, subject to any payment obligations or minimum commitments in a separate written agreement.
14. Disclaimers
To the fullest extent permitted by law, the services are provided on an "as is" and "as available" basis. Vera Menu disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted operation, error-free performance, or any specific ranking, traffic, discovery, revenue, or business result from use of the services.
15. Limitation of Liability
To the fullest extent permitted by law, Vera Menu will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunities, or reputation, arising out of or related to these terms or the services, even if advised of the possibility of such damages.
To the fullest extent permitted by law, Vera Menu's total liability arising out of or related to these terms or the services will not exceed the amount you paid to Vera Menu for the specific services giving rise to the claim during the twelve months preceding the event giving rise to liability, or one hundred U.S. dollars (US$100) if no fees were paid.
16. Indemnification
You agree to defend, indemnify, and hold harmless Vera Menu and its officers, owners, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Content, your use of the services, your violation of these terms, or your violation of any law or third-party right.
17. Governing Law and Disputes
These terms will be governed by the laws of the state designated in your applicable commercial agreement or, if none is designated, the laws of the state in which Vera Menu is organized, without regard to conflict of laws principles. Venue for disputes will lie in the courts designated by the applicable written agreement or, if none is designated, in the courts located in that state.
18. Changes to These Terms
We may update these Terms of Service from time to time. When we do, we will post the revised version on this page and update the effective date above. Your continued use of the services after updated terms become effective constitutes acceptance of the revised terms.
19. Miscellaneous
These terms, together with any applicable order form, statement of work, proposal, invoice, or other written agreement, form the entire agreement between you and Vera Menu regarding the services unless a separate signed agreement states otherwise. If any provision is held unenforceable, the remaining provisions will remain in effect. Vera Menu's failure to enforce a provision is not a waiver of that provision.
20. Contact
